Paralegal (Corporate & Contracts)

In our journey to impact on patients lives, we are looking for a Paralegal (Corporate & Contracts) to join our growing Legal team in Lausanne, Switzerland.Your role will be to assist with corporate housekeeping and contract lifecycle management and other day-to-day matters. As part of the job, you will:    Maintain and file corporate records, including resolutions, proxies, board of director changes, annual reports, etc    Assist with planning and logistics for annual shareholder meetings, director and officer questionnaires, related party transactions, corporate compliance calendars    Assist with the preparation of appropriate draft documents, including agendas, corporate resolutions and meeting minutes for board of director and committee meetings    Create documents related to new corporate entity formations    Support in corporate transactions and assist with due diligence efforts and follow-on compliance as needed    Document management (formatting, facilitating signatures, abstracting, and organizing our corporate legal documents)    Support in preparing documents and activities related to contracts and corporate restructurings, such as mergers, formations, and dissolutions    Overseeing the contract lifecycle process, including planning, collaboration, negotiation, execution and archiving    Support the maintenance of global subsidiary entity activity, global jurisdictional qualifications to do business, and related entity and corporate governance items    Coordinate the signing process for contracts and other legal documents    Keep the legal management database up to date (corporate, contracts, IP)    Ensure proper filing of legal documents - Execute administrative and operational processes for the legal team    Work cross-functionally across the company (including finance, HR and CEO office) as a liaison for the legal teamRequirements    Bachelor of laws or US paralegal training    Proven experience as a paralegal/ contract specialist in a corporate legal department or a law firm    Full proficiency in English required, French desirable    Holder of a valid permit to work in Switzerland    Organizational skills    Drafting skills    Eye for detail    Communication    Issue spotting and problem solving    CollaborationBenefits    Career opportunities in a fast-growing company with worldwide reputation    A flexible and friendly working environment with a collaborative atmosphere    Fantastic office locations in Switzerland    An exciting company mission that brings together science and technology to directly impact the lives of patients with life threatening illness.Start: ASAP (or as agreed)Contract type: permanent full-timeApplication processIf you think you fit this position, please send a CV and a cover letter.
